Welcome to Virtual Leadership Programs ("Platform"), operated by RADIANT FOREST LLC ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.

1. Beta Disclaimer

The Platform is currently in its beta (testing) phase, meaning it is under active development and testing. As such, certain features may be incomplete, unavailable, or subject to change without notice. You acknowledge and accept that the Platform may contain bugs, errors, or other defects and may not operate as intended.

We provide the Platform "as is" and "as available" during this beta phase, with no warranties of any kind, express or implied.

2. AI-Generated Content Disclaimer

The Platform utilizes artificial intelligence systems to generate insights, recommendations, and coaching guidance. Such content is generated automatically and may be incomplete, inaccurate, or inappropriate for a particular situation.

AI-generated outputs are provided for informational and educational purposes only and should not be relied upon as professional, technical, engineering, safety, legal, financial, or medical advice.

Users remain solely responsible for evaluating the accuracy and appropriateness of any recommendations before implementing them.

3. No Professional Advice

The Platform does not provide licensed professional services, including but not limited to engineering, HVAC system design, electrical design, plumbing design, safety compliance, or code compliance advice.

4. User Decision Responsibility

You acknowledge that all decisions, actions, and outcomes resulting from the use of the Platform are solely your responsibility.

The Company is not responsible for any business decisions, operational actions, or technical work performed based on Platform recommendations.

5. No Reliance

You agree that you will not rely exclusively on the Platform when making business, operational, personnel, or technical decisions. The Platform is intended as a supplemental tool and not as a substitute for professional judgment.

6. License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal or organizational leadership development purposes. You agree not to:

  • Modify, copy, or redistribute any part of the Platform.
  • Reverse engineer, decompile, or disassemble the Platform.
  • Use the Platform for illegal purposes or in violation of these Terms.

7. User Responsibilities

Outputs may contain inaccuracies, omissions, or hallucinations. You are responsible for:

  • Ensuring your use of the Platform complies with all applicable safety guidelines, laws, and regulations.
  • Maintaining the confidentiality of your account credentials.
  • Any content or data you submit through the Platform.

12. AI System Improvement

The Company may use anonymized and aggregated data generated through use of the Platform to improve, train, and enhance the functionality of the Platform and its artificial intelligence systems.

13. Limitation of Liability

To the fullest extent permitted by law:

  • RADIANT FOREST LLC and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Platform.
  • The Company's total aggregate liability arising out of or relating to the Platform shall not exceed the greater of $20 or the total fees paid by the user during the preceding twelve (12) months.
  • This limitation applies regardless of the cause of action or theory of liability.

14. No Warranty

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to:

  • Merchantability or fitness for a particular purpose.
  • Accuracy, reliability, or completeness of the Platform's functionality or content.

15. Intellectual Property

All content, trademarks, and intellectual property associated with the Platform are owned by RADIANT FOREST LLC. You may not use, reproduce, or distribute our intellectual property without prior written consent.

16. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for any reason, including but not limited to violations of these Terms. Beta access may also be revoked at our sole discretion.

17. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Platform. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

18. Indemnification

You agree to indemnify and hold harmless RADIANT FOREST LLC, its affiliates, and their respective officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of:

  • Your use of the Platform.
  • Your breach of these Terms.
  • Acts of God.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively through arbitration in Michigan, unless prohibited by law. You agree that any disputes will be resolved solely on an individual basis and not as part of any class, consolidated, or representative action.

20. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and RADIANT FOREST LLC concerning the use of the Platform. They supersede all prior agreements or understandings, whether written or oral.
